(\u201cLogic Controls\u201d) branded hardware products (the \u201cProducts\u201d) sold and shipped by Logic Controls or its authorized resellers within the United States and Canada. By purchasing or using a Product, the Customer (\u201ccustomer\u201d or \u201cwarrant claimant\u201d) agrees to the terms of this Warranty. This Warranty does not extend to any third-party components, accessories, or software not manufactured by Logic Controls.<\/p>\n<p><strong>GENERAL STATEMENT OF WARRANTY<\/strong><\/p>\n<p>Logic Controls Inc. (\u201cLogic Controls\u201d) warrants to the original end-user purchaser (\u201cCustomer\u201d or \u201c Warranty Claimant\u201d ) that Logic Controls-branded hardware products (the \u201cProducts\u201d), when purchased from Logic Controls or an authorized reseller, shall be free from material defects in materials and workmanship under normal use and service for a period of one (1) to three (3) years, depending on the Product category, commencing from the date of shipment from Logic Controls or its authorized distributor (\u201cWarranty Period\u201d). This Limited Warranty is non-transferable and is subject to the terms, conditions, and limitations set forth herein. This Limited Warranty applies exclusively to Logic Controls\u2013branded hardware products that are eligible at the time of original sale and documented by valid proof of purchase from Logic Controls or an authorized reseller. Covered product categories include, without limitation, kitchen display systems, controllers, point-of-sale terminals, touch monitors, bump bars, and other hardware expressly marketed under the Logic Controls brand. The Logic Controls Limited Warranty is not a guarantee of product durability, uninterrupted operation, or continuous availability and does not imply guaranteed fitness for a specific application.<\/p>\n<ol>\n<li><strong> <\/strong><strong>Eligible Products<\/strong><\/li>\n<\/ol>\n<p>This Limited Warranty applies strictly and solely to hardware products that meet all of the following conditions: 1.1 Branding: The product must be branded under the \u201cLogic Controls\u201d name and visibly labeled with the Logic Controls trademark as affixed by the manufacturer. 1.2 Catalog or Invoice Listing: The product must (a) appear in Logic Controls\u2019 official product catalog in effect as of the date of sale, or (b) be expressly listed by part number and description on a valid invoice issued by Logic Controls or an authorized Logic Controls reseller. 1.3 Product Categories: The warranty applies only to the following categories of Logic Controls-branded hardware: Point-of-Sale (POS) terminals, Touchscreen monitors and displays, Kitchen display system (KDS) controllers and interface units, Bump bars, Cash drawer, Customer-facing pole displays, kiosks, edge computing devices, 1.4 Distribution and Sales Channel: The product must have been sold through an authorized Logic Controls distribution channel. Any product obtained via unauthorized resellers, third-party marketplaces, grey-market importers, or secondary channels is not eligible under this warranty. 1.5 Serial Number Integrity: The product must bear a valid, legible, and unaltered Logic Controls serial number. Products with removed, obscured, tampered, or illegible serial numbers shall be automatically disqualified from warranty eligibility. 1.6 No Implied Eligibility: Inclusion of a product in marketing materials, third-party listings, demonstration samples, or verbal representations does not confer warranty coverage.<\/p>\n<ol start=\"2\">\n<li><strong> <\/strong><strong>Geographic Scope of Application<\/strong><\/li>\n<\/ol>\n<p>This Limited Warranty is valid only for Logic Controls-branded hardware products that meet all of the following geographic criteria: 2.1 Territorial Limitation: Warranty coverage applies solely to products that were: (a) Purchased from Logic Controls Inc. or an authorized Logic Controls distributor\/reseller within the United States or Canada, and (b) Installed and continuously operated within these same countries throughout the warranty period. 2.2 No Assumed Global Coverage: The presence of Logic Controls distribution or branding in a foreign jurisdiction does not imply or extend warranty coverage outside the U.S. and Canada. Cross-border shipments, personal transport, or secondary market resale does not trigger any entitlement to support. Products sold into, shipped to, or used within the territory of Brazil are expressly excluded from coverage under this Limited Warranty. Logic Controls does not authorize the sale, distribution, or warranty servicing of its products in Brazil, and no warranty claims will be honored for any units located in or routed through Brazil, regardless of point of purchase.<\/p>\n<ol start=\"3\">\n<li><strong> <\/strong><strong>Warranty Period<\/strong><\/li>\n<\/ol>\n<p>This Limited Warranty is valid only for Logic Controls-branded hardware products and begins on the date of initial delivery to the original purchaser, as evidenced by a Logic Controls-issued invoice or packing slip<\/p>\n<p>3.1 Standard Warranty Duration: Logic Controls provides limited warranty coverage solely for the hardware components of eligible products for a fixed term of service for a period of one (1) to three (3) years, depending on the Product category. The applicable term is defined at Logic Controls\u2019 sole discretion and may be modified or updated without notice. Warranty coverage is strictly limited to manufacturer defects in materials or workmanship under normal operating conditions and proper use. No warranty is provided for software, accessories, consumables, or non-Logic Controls branded items, regardless of inclusion in the same transaction.<\/p>\n<p>3.2 Dead-on-Arrival (DOA) Coverage: Logic Controls will, at its sole option, provide a one-time replacement of any product determined to be DOA under the following mandatory conditions: The product must fail within thirty (30) calendar days of confirmed delivery, and the failure must be attributed to a manufacturing defect, as solely determined by Logic Controls following inspection. The customer must submit a valid DOA claim within the 30-day window, accompanied by: A copy of the purchase invoice and delivery documentation, a completed Logic Controls Return Material Authorization (RMA) request, clear documentation of the reported issue, Logic Controls shall not be responsible for delays, damages, or additional costs related to shipping, setup, or third-party handling of the replacement unit. Failure to comply strictly with the above conditions will render the DOA claim null and void.<\/p>\n<p>3.3 Repairs and Replacements Do Not Extend Warranty Term: In the event a product or component is repaired or replaced during the valid warranty period, the original warranty term shall continue without interruption. No reset or extension of the warranty period shall be granted under any circumstance unless specifically confirmed in writing by Logic Controls. All replacement units or components may be new, refurbished, or functionally equivalent, as determined solely by Logic Controls. Logic Controls shall retain ownership of all replaced units or parts.<\/p>\n<p>3.4 Extended Warranty Eligibility: Extended warranties (e.g., 48 or 60 months) may be available upon request under separate written agreements. Such extended coverage is not standard and must be expressly negotiated and documented at the time of purchase. The extended warranty must be explicitly stated on the original sales invoice or accompanying warranty enrollment confirmation issued by Logic Controls or an authorized reseller. No retroactive warranty extensions shall be honored under any circumstance.<\/p>\n<p>3.5 Determination of Warranty Period Validity: In the event of conflicting or absent documentation, Logic Controls reserves the unilateral right to determine the warranty start date using internal shipping records, warehouse dispatch logs, carrier tracking information, or any other commercially reasonable evidence.<\/p>\n<ol start=\"4\">\n<li><strong> <\/strong><strong>Warranty Services Commitments and Methods<\/strong><\/li>\n<\/ol>\n<p>During the applicable warranty period and subject to all conditions and exclusions outlined in this Limited Warranty Guide, Logic Controls will, at its sole discretion, provide a warranty service to correct defects in materials or workmanship for eligible products. Warranty service is strictly limited to Logic Controls\u2019 prescribed methods, procedures, and service channels. Logic Controls\u2019 Limited Warranty only covers defects that: Occur during normal usage and environmental conditions, are reproducible and verifiable by Logic Controls, and are determined by Logic Controls to result from original manufacturing defects. This warranty does not guarantee uninterrupted or error-free operation of the product, nor does it cover non-hardware issues such as configuration, compatibility, software performance, or third-party integrations.<\/p>\n<p>4.1 Shipping Responsibilities: The customer is responsible for all costs associated with shipping the product to the designated Logic Controls repair center. Logic Controls will cover the cost of standard ground return shipping to the customer following completion of warranty repair services. All warranty returns must be shipped using a trackable and insured carrier. Logic Controls is not liable for any products lost or damaged in transit to the repair facility. The customer assumes all risk of loss until the product is received and acknowledged by Logic Controls.<\/p>\n<ol start=\"5\">\n<li><strong> Rendering Warranty Services: <\/strong>During the applicable warranty period, Logic Controls Inc. will, at its sole and exclusive discretion, repair or replace any eligible Logic Controls-branded hardware that is confirmed to be defective in materials or workmanship under normal use, provided all warranty conditions have been strictly met.<\/li>\n<\/ol>\n<p>Warranty claims must be initiated exclusively through Logic Controls\u2019 online support portal at <a href=\"https:\/\/support.logiccontrols.com\/\">Logic Controls Product Support<\/a>. Claims submitted by phone, email, or any other method will not be accepted. Each claim must include the following: (i) customer name, (ii) company name (if applicable), (iii) product serial number, (iv) detailed description of the issue, and (v) valid proof of purchase. Failure to provide complete and accurate information may result in denial or delay of the claim.<\/p>\n<ol start=\"6\">\n<li><strong> Scope of Warranty Services Based on Operating Location<\/strong><\/li>\n<\/ol>\n<p>This Limited Warranty is offered for products operated within the United States and Canada. However, the scope of service depends on whether the product is installed at a location defined by Logic Controls as a Support Region (U.S. &amp; Canada). Warranty service under this Limited Warranty shall be performed solely through Logic Controls\u2019 authorized service facilities, and Logic Controls shall retain exclusive discretion over all determinations relating to the manner, method, and location of service. No field servicing or on-site diagnosis is guaranteed under this warranty<\/p>\n<p>Logic Controls shall conduct a final inspection of all returned products. Any of the following shall render a warranty claim null and void: Serial number mismatch or illegibility; Physical condition inconsistent with the original claim; Signs of liquid ingress, impact, corrosion, foreign modification, or unauthorized access; Damage attributable to third-party accessories, power surges, improper voltage, or installation in hostile environments.<\/p>\n<p>Logic Controls\u2019 determinations of claim validity are final and binding. No verbal statements, sales promise, or distributor assurances shall override these conditions.<\/p>\n<ol start=\"7\">\n<li><strong> Requirement of Formal Documentation<\/strong><\/li>\n<\/ol>\n<p>No warranty-related service shall be rendered, scheduled, or interpreted as approved unless supported by written confirmation issued directly by Logic Controls through one of the following official channels: A Logic Controls\u2013issued Return Material Authorization (RMA) document; A written service order confirmed by Logic Controls; An official customer support ticket that explicitly references the service to be rendered; Any other written communication issued by an authorized Logic Controls representative, with clear service approval. Verbal representations, customer assumptions, distributor assurances, or implied expectations shall carry no legal force or effect.<\/p>\n<p>Logic Controls reserves the exclusive right to deny or defer any warranty service request if written confirmation is not secured in advance or if any documentation is incomplete, misleading, or inconsistent with the original product registration or purchase record.<\/p>\n<ol start=\"8\">\n<li><strong>Exercise of Rights Under This Limited Warranty<\/strong><\/li>\n<\/ol>\n<p><strong>8.1. Procedures for Submitting Warranty Claims<\/strong><\/p>\n<p>Warranty rights under this Limited Warranty may only be exercised by submitting a ticket through Logic Controls' official service channels. Web Portal: <a href=\"https:\/\/www.logiccontrols.com\/support\">www.logiccontrols.com\/support<\/a>\u00a0 <a href=\"https:\/\/logiccontrols.com\/contact\/\">Contact - Logic Controls<\/a><\/p>\n<p>Warranty services are strictly limited to the original purchaser (\u201cWarranty Claimant\u201d) or an explicitly authorized agent thereof. Any attempt to exercise warranty rights without proper authorization will be deemed void and may result in permanent ineligibility for future coverage.<\/p>\n<p><strong>8.3. Submission Requirements<\/strong><\/p>\n<p>To assess a warranty claim, Logic Controls requires the Warranty Claimant to furnish complete, accurate, and timely documentation and technical data. The following minimum information must be submitted at the time of claim:<\/p>\n<ol>\n<li>Contact and Identity Verification, b. Proof of Purchase (Original invoice or delivery packing slip indicating purchase date and product serial number.)<\/li>\n<\/ol>\n<p>By submitting a claim, the Warranty Claimant acknowledges and accepts that Logic Controls may temporarily store and process technical data and logs for diagnostic purposes. Logic Controls shall not be liable for incidental exposure of operational data or business content during the course of analysis. Logic Controls will not be responsible for the loss of customer data under any circumstances.<\/p>\n<p>The submission of a claim does not guarantee eligibility or entitlement to any warranty services. Logic Controls reserves the exclusive right to evaluate, accept, or reject claims based on internal review, and such determinations shall be final and binding. If a product is deemed ineligible for warranty, the Claimant will be notified and given the option to proceed with paid out-of-warranty service, subject to separate terms and costs.<\/p>\n<ol start=\"9\">\n<li><strong>Obligations of the Warranty Claimant <\/strong><\/li>\n<\/ol>\n<p>In order to access and maintain eligibility for warranty services under this Limited Warranty, the Warranty Claimant (defined as the original purchaser or their authorized agent) shall strictly comply with the following obligations. These obligations are conditions precedent to any service being rendered. Failure to fulfill any of the responsibilities outlined in Section 9 may result in delays, suspension, or complete denial of warranty service at the sole discretion of Logic Controls. The Warranty Claimant agrees to fully support and facilitate the technical, procedural, and logistical processes necessary for Logic Controls to investigate, validate, and resolve any claim of product defect.<\/p>\n<p>Any failure by the Warranty Claimant to meet the obligations specified herein shall constitute a material breach of the Limited Warranty and may result in: Immediate denial of the current warranty claim and suspension of Logic Controls\u2019 support services. Logic Controls retains the right to invoice the Warranty Claimant for any costs, damages, or liabilities arising directly or indirectly from non-compliance with the requirements of this Section. The warranty claimant is responsible for the proper and documented receipt of any warranty replacement units or components. This includes unpacking, inspection, damage reporting, and verification of compliance with the agreed-upon order confirmation. The warranty claimant must ensure secure and compliant storage of all replacement components upon arrival and until installation. Any failures resulting from improper storage conditions (e.g., humidity, temperature, static discharge) shall avoid the warranty on those components.<\/p>\n<ol start=\"10\">\n<li><strong>Return Shipment of Defective Units<\/strong><\/li>\n<\/ol>\n<p>In the event Logic Controls authorizes the return of a defective unit under this Limited Warranty, the Warranty Claimant shall comply with the following requirements. Strict adherence to this section is a condition for maintaining continued warranty eligibility. Logic Controls reserves all rights to withhold service, charge full retail value, or suspend account support in cases of noncompliance.<\/p>\n<p>All returns must be pre-approved by Logic Controls and accompanied by a valid Return Material Authorization (RMA) number. The RMA number must be clearly labeled on the exterior of the shipping container and included in the accompanying documentation. The defective product must be returned in secure, impact-resistant packaging, ideally using the original factory packaging or equivalent protective material to prevent further damage. The following category of product conditions, uses, and events are expressly excluded from warranty protection. Any claim that falls within these exclusions will be denied, and Logic Controls shall have no obligation\u2014express or implied\u2014to repair, replace, or refund the product or service.<\/p>\n<p><strong>11.1. Ineligible Products and Use Conditions<\/strong><\/p>\n<p>This Limited Warranty does not apply to the following:<\/p>\n<ul>\n<li>Any product claim not reported to Logic Controls in a timely manner or submitted after the expiration of the applicable warranty period.<\/li>\n<li>Products not sold, distributed, or authorized by Logic Controls or its designated partners.<\/li>\n<li>Devices that do not appear in Logic Controls\u2019 official product catalog, price list, or approved sales channels at the time of purchase.<\/li>\n<li>Products used in a manner inconsistent with technical specifications, including improper voltage, connectivity, or mounting.<\/li>\n<li>Units installed without compliance with national electrical codes (e.g., NEC, CSA) or manufacturer-issued installation requirements.<\/li>\n<li>Devices with missing, defaced, tampered, or unreadable serial numbers, model labels, or product markings.<\/li>\n<li>Products subjected to unauthorized service, repair, disassembly, or software modification.<\/li>\n<li>Use of non-Logic Controls-approved components, accessories, third-party software, or diagnostic tools in conjunction with Logic Controls products.<\/li>\n<\/ul>\n<p><strong>11.2. Cosmetic and Non-Functional Damage<\/strong><\/p>\n<p>Warranty coverage explicitly excludes cosmetic conditions and superficial damage that do not impair the functionality or safety of the device, including scratches, discoloration, smudges, or minor dents on the product housing and surface wear due to normal operational use, installation friction, or contact with non-abrasive cleaning agents.<\/p>\n<p><strong>11.3. Consumables, Perishables, and Wear Items<\/strong><\/p>\n<p>The following are considered non-warrantable unless proven by Logic Controls to have failed due to a verifiable manufacturing defect: Fuses, batteries, filters, cables, mounting brackets, gaskets, adhesives, and other user-replaceable components. Any item deemed consumable or subject to regular operational degradation.<\/p>\n<p><strong>12.Final Validity and Limitation of Liability<\/strong><\/p>\n<p>This Limited Warranty defines the exclusive remedies available to the Warranty Claimant for eligible Logic Controls hardware. No verbal commitments, implied obligations, or course-of-dealing assumptions shall override these terms.<\/p>\n<p>Logic Controls expressly disclaims any liability for: Loss of business revenue, profit, or market opportunity, indirect, special, incidental, punitive, or consequential damages, service-related travel, lodging, or logistics reimbursement, labor costs associated with disassembly, reinstallation, or testing, damages arising from customer error, unauthorized service, or improper handling, costs stemming from non-cooperation during investigation, third-party claims.<\/p>\n<ol start=\"13\">\n<li><strong> Service Response Times and Limitations<\/strong><\/li>\n<\/ol>\n<p>While Logic Controls endeavors to provide timely and efficient warranty support, all service response commitments are strictly subject to availability, feasibility, and prevailing conditions. This Limited Warranty does not guarantee any fixed response time, and the Warranty Claimant acknowledges that all service timing is offered on a best-effort basis only. Service response intervals may vary due to multiple uncontrollable or situational factors, including but not limited to: The severity, complexity, and reproducibility of the reported defect, safety restrictions, government-imposed limitations, or geopolitical instability, force majeure events (e.g., natural disasters, pandemic disruptions, infrastructure failure). In any such scenario, Logic Controls shall not be held liable for delays in service execution or response beyond its reasonable control. The following response windows are estimates only and are not guaranteed. Logic Controls shall determine, at its sole discretion, the priority level of each case based on documented impact:<\/p>\n<p>13.1 No Liability for Delay: Logic Controls disclaims all liability for: Any commercial loss, reputational impact, or business interruption resulting from delays, delayed access, unavailability of components, or technician rescheduling, warranty claimant\u2019s internal timelines or client-facing service level commitments. Delays caused by third parties or external conditions shall not constitute a breach of this Limited Warranty. Any attempt to reassign responsibility to Logic Controls for such delays is expressly disclaimed.<\/p>\n<ol start=\"14\">\n<li><strong> Final Validity of the Logic Controls Limited Warranty<\/strong><\/li>\n<\/ol>\n<p>14.1\u2003Exclusive Remedy Clause: This Limited Warranty sets forth the sole and exclusive remedies available to the original purchaser for any Logic Controls-branded hardware defects. Logic Controls shall only provide firmware updates to comply with mandatory statutory obligations or applicable export control regulations. Unless required by non-waivable law, Logic Controls assumes no liability for any direct, indirect, incidental, special, punitive, or consequential damages arising from or related to software or firmware updates, even where Logic Controls was advised of the possibility of such damage in advance.<\/p>\n<p>15.2 Cybersecurity and AI Disclaimer: Logic Controls expressly disclaims all liability for cybersecurity threats, vulnerabilities, or breaches associated with any firmware, embedded software, or AI-based features, even when pre-installed or developed by Logic Controls. The customer acknowledges that any AI-powered functionalities may interact with operational data, including, but not limited to, point-of-sale (POS) interfaces. Logic Controls does not guarantee isolation of network environments or immunity from theoretical or actual access risks. All software is provided strictly on an \u201cas-is\u201d basis, and Customer assumes all responsibility for securing the deployment environment, including proper network segmentation and payment data protection.<\/p>\n<ol start=\"16\">\n<li><strong>Exclusive Warranty and Disclaimers<\/strong><\/li>\n<\/ol>\n<p>This document sets forth the sole, exclusive, and final warranty terms applicable to all Logic Controls hardware and software products. To the maximum extent permitted by applicable law, these terms supersede any other prior or contemporaneous warranties, express or implied, whether oral or written. Except as explicitly provided herein, Logic Controls expressly disclaims all other warranties, representations, and conditions, whether statutory, express, or implied\u2014including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, system integration, or non-infringement\u2014regardless of whether the product is used under Logic Controls\u2019 documentation or otherwise. No Logic Controls employee, reseller, distributor, or agent is authorized to modify or extend this warranty or to make any representations or commitments regarding product performance or capabilities beyond those explicitly stated in this document.<\/p>\n<p>16.1 Scope of Risk Allocation: This Limited Warranty does not cover, and Logic Controls shall not be liable for any claims, damages, or losses arising from data breaches, security incidents, or class action liabilities resulting from the use, integration, or configuration of Logic Controls software or AI features in customer environments. Logic Controls makes no representations or guarantees regarding the quality, compatibility, authenticity, functionality, or safety of any such third-party items, regardless of how they are advertised, labeled, or installed. The use of any third-party hardware or component with Logic Controls systems may result in operational failure, system instability, physical damage, or serious safety hazards, including but not limited to electrical failure, overheating, fire, or explosion. Logic Controls shall not be held liable for any damages, losses, malfunctions, or safety incidents arising from or related to such third-party use. This Limited Hardware Warranty expressly excludes any defect, failure, or performance issue attributable to the installation, integration, or use of any third-party product not supplied or certified by Logic Controls. Additionally, for commercial customers, the installation or use of any unauthorized third-party product in conjunction with a Logic Controls system may result in the immediate voiding of this Limited Hardware Warranty, at the sole and exclusive discretion of Logic Controls. Customers assume all risks and liabilities associated with the selection and use of third-party products in or with Logic Controls hardware.<\/p>\n<ol start=\"20\">\n<li><strong>Software and Services<\/strong><\/li>\n<\/ol>\n<p>Certain Logic Controls hardware products rely on embedded or companion software. This Limited Hardware Warranty does not apply to any software which is provided under a separate license agreement. Use of Logic Controls software is governed by the applicable Software License Agreement (\u201cSLA\u201d). In the absence of an SLA, Buyer is granted a limited, non-transferable license to use the software only with authorized Logic Controls hardware. The software is proprietary and remains the sole property of Logic Controls. Logic Controls makes no warranties regarding the performance, up-time, or error-free operation of any software. Any interruptions, updates, or access limitations do not entitle Buyer to warranty service, replacement, or refund under this hardware warranty. Improper use of the software, including unauthorized copying, reverse engineering, or use with non-Logic Controls systems, may result in termination of access and void any related support rights.<\/p>\n<p><strong>21.Customer Responsibilities for Security and Risk Allocation<\/strong><\/p>\n<p>21.1 Customer Security Obligations: The Customer shall implement, maintain, and routinely update all security controls, monitoring tools, network segmentation protocols, and endpoint protections necessary to secure its IT infrastructure, including all devices on which Logic Controls hardware or software is installed. This includes full responsibility for ensuring the isolation of payment processing environments from any device running Logic Controls software.<\/p>\n<p>21.2 No Assumption of End-User Security Responsibilities: Logic Controls shall not be responsible for verifying or enforcing the Customer\u2019s implementation of security protocols, nor for detecting vulnerabilities in Customer systems. Logic Controls disclaims all liability for breaches, access, or damages resulting from the Customer\u2019s failure to configure, monitor, or update its security environment.<\/p>\n<p>21.3 Negligent Configuration and Misuse: Any breach, data loss, or security event that results, directly or indirectly, from Customer\u2019s failure to follow best practices or to install available security updates shall void all applicable warranty obligations.<\/p>\n<p>21.4 Identity and Access Management (IAM) Obligations: (a) The Customer shall be solely responsible for implementing and maintaining industry-standard Identity and Access Management (IAM) protocols in connection with any Logic Controls hardware, firmware, or software, including AI-powered and MDM products. (b) At a minimum, Customer shall implement multi-factor authentication (MFA) for all users accessing the AI software, monitor accounts for unauthorized access or suspicious login activity, and promptly disable compromised credentials. (c) The Customer must report any known or suspected credential compromise to Logic Controls in writing within twenty-four (24) hours of discovery. Failure to do so will void all warranty protections associated with the affected systems. (d) Logic Controls disclaims all liability for data breaches or system misuse resulting from Customer\u2019s failure to enforce secure identity and access controls, regardless of whether the access involved valid credentials or identity spoofing. (e) Customer assumes full responsibility for managing user roles, permission settings, and session integrity for all users of Logic Controls AI-enabled or MDM systems.<\/p>\n<ol start=\"22\">\n<li>Indemnification: The Customer shall indemnify, defend, and hold harmless Logic Controls Inc., its affiliates, officers, directors, employees, agents, successors, and assigns (collectively, the \u201cIndemnified Parties\u201d) from and against any and all claims, demands, liabilities, losses, damages, penalties, settlements, judgments, costs, and expenses (including without limitation reasonable attorneys\u2019 fees, expert witness fees, and costs of investigation) arising out of or relating to: (a) Any breach or alleged breach of data security, confidentiality, or system integrity involving Customer\u2019s network, systems, or payment environment, regardless of whether Logic Controls products were directly or indirectly implicated; (b) Customer\u2019s failure to implement, maintain, or update reasonable and industry-standard cybersecurity protocols, firewalls, access controls, patching practices, or network segmentation safeguards; (c) Misuse, negligent configuration, or unauthorized modification of Logic Controls\u2019 hardware, firmware, or software by Customer or its personnel; (d) Failure to follow documented guidance, updates, or warnings issued by Logic Controls regarding secure installation, deployment, or software integration; (e) Any claim brought by a third party, including but not limited to consumers, regulators, card brands, processors, or class-action plaintiffs, asserting that Logic Controls products contributed to or enabled a data breach, where such claim is based in whole or in part on Customer\u2019s acts or omissions; (f) Violations of applicable data protection laws, PCI-DSS requirements, or other regulatory standards stemming from the Customer\u2019s systems or conduct. (g) This indemnity shall apply regardless of whether Logic Controls is named as a primary, joint, or secondary defendant, and shall survive the expiration or termination of this Limited Warranty.<\/li>\n<li><strong>Prohibited Territories and Sanctioned Jurisdictions<\/strong><\/li>\n<\/ol>\n<p>Notwithstanding any other provision in this Limited Warranty, Logic Controls shall not provide warranty support, service, replacement parts, or reimbursement of any kind for products located in, exported to, or operated within any country, region, or territory subject to sanctions, trade restrictions, or embargoes imposed by the United States government. This includes, but is not limited to, jurisdictions designated by the U.S. Department of the Treasury\u2019s Office of Foreign Assets Control (OFAC) as comprehensively sanctioned countries. As of the effective date of this policy, prohibited territories include, without limitation, Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, and any other country or region added to the U.S. sanctions list thereafter. Customers are solely responsible for ensuring that products are not exported, transferred, or operated in violation of U.S. export control laws or regulations. Logic Controls will not authorize, process, or support any warranty-related activity\u2014whether technical, logistical, or financially connected to a prohibited territory. Any attempt to seek warranty coverage in such jurisdictions is strictly void and shall result in automatic forfeiture of all related warranty rights.<\/p>\n<p><strong>24.Governing Law and Jurisdiction: <\/strong>This Limited Warranty shall be governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute, claim, or controversy arising from or related to this warranty, any Logic Controls product, or the relationship between the parties shall be resolved exclusively in the state or federal courts located in Orange County, Florida.
